the economy in a recession, it's imperative to keep costs down as much
as possible, but still maintain quality. With our Paralegal/Legal
Assistant background, we can legally perform some of the same duties an
attorney does to form a business, but for a lot less, thus saving you
money at the start of your business venture - while still providing you
with top quality services found in some of the largest law firms in the
nation!

What is a Limited Liability Company?
Business owners form a Limited Liability Company (LLC) to reduce their
personal liability and to shield personal assets. If you operate as a
sole proprietor or partnership, you are personally responsible for any
business debts or lawsuits against your business. This means nearly
everything you own could be at risk! When you set up an LLC, you
separate your business and personal identities. This helps protect your
personal savings, your house, your car, etc. LLCs can also provide
business owners with other benefits like tax savings.
An LLC also has much simpler record/book keeping procedures than your
average company. Unlike corporations, LLCs are not required to hold an
annual meetings or draft meeting minutes. Note, however, that an LLC
does need an operating agreement, which is usually drafted by an
attorney. This agreement will specify how and by whom the company will
be managed, each owner's name, the amount of ownership interest held by
each owner, and many other important items about your business.

What is a Sole Proprietorship?
A
sole proprietorship (SP) is an unincorporated business owned by one
person. The most important feature of a sole proprietorship is that the
law makes no distinction between you, the sole proprietor, and your
business. Virtually all the legal and tax consequences associated with
sole proprietorships flow from this essential element. As a sole
proprietor, you can conduct business under your own name or under a
trade name. For example, let's say I am a plumber. I can conduct
business under my own name, Jim Poznak, Plumber, or I can conduct
business under a trade name, such as ¡°EZ Flush¡±.
